Welcome to SparkAI ("Platform"), a product of AB Ignite Design Inc. ("Company," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of SparkAI at https://sparkainow.com and any related services, including affiliate and white-label options.

By using the Platform, you agree to comply with and be legally bound by these Terms. If you do not agree, please do not use the Platform.
1. Acceptance of TermsBy accessing or using SparkAI, you acknowledge that you have read, understood, and agree to these Terms and our Privacy Policy. If you are using the Platform on behalf of a business or other entity, you represent that you have authority to bind that entity to these Terms.

2. Services ProvidedSparkAI is an AI-powered content creation platform offering:

• AI-generated content tools for text, images, and multimedia.
• Affiliate and white-label partnership opportunities.
• Subscription-based and usage-based pricing models.

We may modify or discontinue services at any time without prior notice.

3. Account Registration & User ResponsibilitiesTo access SparkAI, you must create an account by providing accurate information. You are responsible for:

• Maintaining the security of your account.
• All activities that occur under your login credentials.
• Notifying us immediately of unauthorized account use.

We reserve the right to terminate accounts that violate these Terms.

4. Payment & Subscription TermsA. Pricing & Billing

• Some SparkAI features require a paid subscription or one-time purchase.
• Fees are billed automatically through a third-party payment provider.
• All sales are final unless otherwise stated in our refund policy.

B. Cancellations & Refunds

• Users may cancel subscriptions at any time, but refunds are only issued per our Refund Policy.
• We reserve the right to adjust pricing with prior notice.

5. Acceptable Use PolicyYou agree NOT to:

• Use SparkAI for illegal, harmful, or fraudulent activities.
• Generate, distribute, or promote harmful, misleading, or unethical content.
• Attempt to disrupt or reverse-engineer our AI models.
• Share, resell, or sublicense SparkAI services without authorization.

Violations may result in suspension or termination of your account.

6. Intellectual Property

• Our Rights: SparkAI, its content, and underlying technology are owned by AB Ignite Design Inc. and protected by copyright, trademark, and other intellectual property laws.
• Your Rights: You retain rights to the content you create using SparkAI, but grant us a non-exclusive license to store and process it for service functionality.

Unauthorized reproduction or misuse of our intellectual property is strictly prohibited.

7. Affiliate & White-Label Program Terms

SparkAI offers two partnership opportunities for users interested in monetizing or reselling our AI-powered content creation services:

A. Affiliate ProgramOur Affiliate Program allows individuals and businesses to earn commissions by referring new users to SparkAI. By signing up, you agree to abide by the following:

1. Eligibility & Enrollment

• • Affiliates must provide accurate information, including a valid payout method.
  • AB Ignite Design Inc. reserves the right to reject any affiliate.
  2. Commission Structure
  • Commissions are earned when a referred user signs up and completes a qualifying purchase.
  • The commission percentage and payout schedule are outlined in the Affiliate Dashboard.
  • Self-referrals and fraudulent signups (e.g., using fake accounts) will not be rewarded.
  3. Payment & Payouts
  • Commissions are paid out on a monthly basis via the payment method specified in your account.
  • Minimum payout threshold: $50 (Affiliates must meet this amount before payments are processed).
  • Affiliates are responsible for any applicable taxes related to their earnings.
  4. Promotional Guidelines
  • Affiliates may use approved marketing materials provided by SparkAI.
  • Misrepresentation of SparkAI’s services, deceptive advertising, or SPAM practices will result in termination.
  • Affiliates may not bid on SparkAI-related keywords in paid ads or impersonate SparkAI on social media.
  5. Termination
  • AB Ignite Design Inc. may terminate an affiliate's participation for violating these terms, suspected fraudulent activity, or failure to meet performance criteria.
  • Any unpaid commissions resulting from fraudulent or policy-violating activity will be forfeited.
    
    
  B. White-Label Reseller Program
  
  The White-Label Program enables businesses to offer SparkAI’s services under their own brand while leveraging our AI content creation technology
  
  1. Eligibility & Enrollment
• • White-label partners must apply and be approved before gaining access to the platform.
  • Approved partners will receive custom branding options, a dedicated dashboard, and API access (if applicable).
  2. Pricing & Revenue Model
  • White-label partners purchase SparkAI services at a discounted rate and resell them at their own pricing.
  • Pricing tiers and discount structures are provided in the partner agreement.
  • White-label partners are responsible for setting up and managing their own payment processing with their customers.
  3. Branding & Usage Rules
  • Partners may customize the platform’s branding (logos, colors, domain name).
  • The core AI technology and platform functionalities remain the intellectual property of AB Ignite Design Inc.
  • Unauthorized modifications to the AI models, misrepresentation of SparkAI’s capabilities, or reselling under misleading claims are strictly prohibited.
  4. Support & Customer Service
  • White-label partners handle first-level customer support for their clients.
  • AB Ignite Design Inc. provides backend technical support, but direct communication with white-label clients is the partner’s responsibility.
  5. Termination & Compliance
  • White-label agreements are subject to periodic review.
  • Violation of SparkAI’s guidelines, failure to meet contractual obligations, or non-payment may result in suspension or termination of white-label access.
  • Upon termination, partners must cease using SparkAI branding, technology, or related materials.

8. Disclaimers & Limitation of LiabilityA. Disclaimers

• No Guarantee: SparkAI provides AI-generated content “as-is” and does not guarantee accuracy, reliability, or suitability for any specific purpose.
• No Professional Advice: AI-generated content should not be used as legal, medical, or financial advice.

B. Limitation of LiabilityTo the fullest extent permitted by law, AB Ignite Design Inc. is not liable for:

• Any indirect, incidental, or consequential damages.
• Loss of data, profits, or business opportunities.
• AI-generated content inaccuracies.

Our total liability is limited to the amount paid by you in the last 3 months.

9. TerminationWe reserve the right to suspend or terminate accounts that:

• Violate these Terms.
• Engage in fraudulent, harmful, or abusive activity.
• Fail to pay for services.

Users may terminate accounts at any time by contacting support.

10. Governing Law & Dispute Resolution

• These Terms are governed by the laws of Ohio, USA.
• Any disputes shall first be attempted to be resolved through negotiation.
• If unresolved, disputes will be subject to binding arbitration in Cincinnati, Ohio.

11. Changes to These TermsWe may update these Terms periodically. The latest version will always be available at https://sparkainow.com/terms-of-service. Continued use of the Platform constitutes acceptance of changes.
